THESE TERMS OF USE govern your use of the website located at https://topmate.io (the "Website"). The Website is the exclusive property of KAVALRY TECHNOLOGIES PRIVATE LIMITED (operating as "Topmate.io"), a company duly incorporated and validly existing under the Companies Act, 2013, having its registered office at Ground Floor, 656, 13th Cross Rd, Sector 2, PWD Quarters, 1st Sector, HSR Layout, Bengaluru, Karnataka - 560102 (referred to herein as "Topmate.io," "we," "us," or "our").
These Terms constitute a legally binding agreement between you (whether as an individual or on behalf of an entity) ("you") and Topmate ("Company", "we", "us", "our"), governing your access to and use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agreed to comply with these Terms. If you do not agree with any part of these Terms, you must stop using the Services immediately.

1. USER ELIGIBILITY AND ACCOUNT CREATION

Eligibility

You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements. By accessing or using the Platform, you further represent that you are not prohibited by applicable law from receiving the services offered herein.

Minors

Notwithstanding the above, users below the age of eighteen (18) years may access the Platform solely under the direct supervision and responsibility of a parent or legal guardian. Such parent or legal guardian must agree to be bound by these Terms and shall assume full liability for all activities, transactions, and conduct of the minor user. Topmate reserves the right to terminate any account upon failure to comply with age and identity verification requirements which is mandatory.

2. ACCEPTANCE OF TERMS

By accessing, registering with, or using Topmate in any manner, you acknowledge that you have read, understood, and unconditionally accept all terms, conditions, and policies set forth herein. Your continued use of the Platform following any amendments to these Terms constitutes acceptance of the modified terms. If you disagree with any provision herein, you must immediately cease using the Platform.

3. PLATFORM OVERVIEW AND INTERMEDIARY STATUS

Service Model

Topmate operates as an "Intermediary" as defined under the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines) Rules, 2021. The Platform provides technological infrastructure that enables the facilitation of services and content sharing between users. Topmate does not author, curate, edit, or endorse any User-Generated Content.

Safe Harbour Protection

In accordance with Section 79 of the Information Technology Act, 2000, Topmate claims safe harbour protection and shall not be liable for any third-party content, user transactions, disputes between experts and followers (end-users), or any unauthorized use of the Platform.

Scope Limitations

Topmate is expressly not an educational institution, employer, labour contractor, or party to any transaction conducted between experts and followers. Topmate does not verify, validate, or certify the credentials, qualifications, or claims of any expert or follower listed on the Platform.

4. ACCOUNT SECURITY AND USER RESPONSIBILITIES

Account Maintenance

Users are solely responsible for maintaining the confidentiality and security of their account credentials, including but not limited to passwords, One-Time Passwords (OTPs), and authentication tokens. Users must immediately notify Topmate of any unauthorized access or suspected breach of account security in writing.

User Liability

Users assume full and exclusive responsibility for all activities conducted through their account. Topmate shall not be liable for any losses, damages, or unauthorized transactions resulting from the user's failure to maintain account security or the compromise of user credentials.

Account Suspension or Termination

Topmate reserves the unilateral right to suspend or terminate any account that remains inactive for a period exceeding twelve (12) months or that is determined to be in violation of these Terms, without providing prior notice to the user.

5. PROHIBITED USER CONDUCT AND ACTIVITIES

Users are expressly prohibited from hosting, uploading, publishing, transmitting, or sharing any content or information that falls into any of the following categories:
  • Illegal Content: Content that violates any applicable law, statute, or regulation; promotes terrorism, violent extremism, violence, organized crime, money laundering, or unlawful gambling activities; or facilitates the commission of any criminal offense.
  • Harmful Content: Content that is defamatory, obscene, pornographic, pedophilic, invasive of privacy, harassing, abusive, threatening, or vulgar in nature; or content that targets individuals or groups based on protected characteristics.
  • Intellectual Property Violations: Content that infringes any patent, trademark, copyright, trade secret, or other proprietary or intellectual property rights of any third party.
  • Deceptive Content: Content that deceives or misleads recipients regarding its origin, sender identity, or authenticity; or content that impersonates, misrepresents, or spoofs the identity of any person or entity.
  • Malicious Code: Content that contains malware, viruses, worms, trojan horses, ransomware, or any other code designed to interrupt, destroy, damage, or impair computer systems, networks, or data.
  • Unfair Competition: Content or activities designed to build competing services using Topmate's infrastructure; unauthorized data scraping, automated access, or extraction of Platform data; or any activity intended to circumvent Platform security measures.

Enforcement

Violation of any provision in this section shall result in immediate account termination and may include reporting to law enforcement agencies.

6. CONTENT RIGHTS AND OWNERSHIP

Ownership and Licensing

Users retain all ownership rights to original content created and uploaded by them ("User Content"). In consideration for the provision of hosting, distribution, and related services, users grant Topmate a non-exclusive, worldwide, royalty-free, perpetual license to host, display, reproduce, and distribute User Content as reasonably necessary to provide the Services described herein. This license shall terminate upon the user's deletion of content, except where legal obligations, backup requirements, or archival purposes necessitate continued retention.

Representations and Warranties

Users warrant and represent that: (i) User Content is original and created by the user or properly licensed; (ii) User Content is accurate, lawful, and not misleading; (iii) User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights; and (iv) all professional credentials, qualifications, or specialized knowledge claims made in User Content are truthful and verifiable.

Content Removal

Topmate reserves the right to remove any User Content without prior notice if Topmate reasonably determines that such content violates these Terms or applicable law, or if Topmate receives valid legal process, government orders, or verified third-party intellectual property takedown notices.

7. INTELLECTUAL PROPERTY RIGHTS

Platform Ownership

Topmate retains all ownership rights, including intellectual property rights, in and to the Platform, including but not limited to source code, software architecture, design elements, graphics, user interface, branding, trademarks, and proprietary technology. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for lawful purposes in accordance with these Terms.

Prohibited Activities

Users may not reverse-engineer, decompile, disassemble, adapt, modify, translate, or create derivative works based on the Platform. Users may not copy, reproduce, distribute, sell, lease, or otherwise exploit any Platform intellectual property.

8. INTERMEDIARY GRIEVANCE REDRESSAL MECHANISM (IT RULES 2021)

In compliance with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Topmate has designated a Grievance Redressal Officer with the following contact details:

Grievance Submission Procedure

Users may submit grievances by email to support@topmate.io, including detailed descriptions of the grievance, affected content identifiers, and supporting documentation.

Mandatory Response Timelines

All grievances submitted by users shall be acknowledged within twenty-four (24) hours and shall be conclusively resolved within fifteen (15) calendar days of submission. For escalated grievances, a secondary review shall be conducted within thirty (30) days.

Content Removal Timeline

Topmate shall remove prohibited content within thirty-six (36) hours of receiving a valid court order, government directive, or verified notice from competent authority.

9. PAYMENT AND CHARGEBACK MANAGEMENT

Payment Processing

All payments shall be processed in Indian Rupees (INR) through licensed third-party payment gateways. Applicable Goods and Services Tax (GST) shall be calculated and collected as per applicable Indian tax law.

Chargeback Protocol

Unauthorized or fraudulent chargebacks may result in immediate account termination, suspension of payment privileges, and initiation of legal proceedings.

10. REFUNDS

Creator-Initiated Cancellations

If an expert cancels a scheduled session, Topmate will automatically issue a refund to the consumer. This applies to cancellations made at any point before the scheduled session end time.

Consumer-Initiated Refund Requests

Consumers may request a refund under the following conditions:
  • Non-Delivery of Service: A full refund will be issued if the expert does not deliver the purchased product or service.
  • Voluntary Cancellation: Consumers may request cancellation before the service begins, provided the request is made at least 24 hours prior to the scheduled start time. Such requests are eligible for a full refund.
  • Voluntary Cancellation Within 24 Hours: Cancellation requests submitted within 24 hours of the scheduled session are subject to expert approval. Topmate will verify the request with the expert, and such refunds will be processed solely based on the expert's confirmation.

Non-Refundable Purchases

The following items are non-refundable, once purchased:
  • Digital products
  • Recorded or self-paced courses
  • Any instant-access content
Multi-session packages or bundles are refundable solely with the expert's explicit approval, irrespective of completed or pending sessions.

Review and Verification Process

For refund requests that are not automatically eligible:
  • Topmate's support team will review the request and reach out to the expert;
  • After receiving the expert's response, Topmate will either process the refund or facilitate the delivery or completion of the product or service.

Final Decision & Processing Time

Where expert approval is required, the refund will be processed only after the expert provides confirmation. Once approved, the refund will be issued to the original payment method within 5–7 business days.

11. WARRANTIES DISCLAIMER AND LIMITATION OF LIABILITY

Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES PROVIDED THEREON ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TOPMATE MAKES NO REPRESENTATION OR WARRANTY REGARDING: (I) UNINTERRUPTED OR ERROR-FREE SERVICE OPERATION; (II) THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, INFORMATION, OR SERVICES; (III) THE CAPABILITY OF THE PLATFORM TO MEET USER REQUIREMENTS; OR (IV) THE QUALITY, PERFORMANCE, OR DELIVERY OF SERVICES PROVIDED BY EXPERTS OR OTHER USERS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOPMATE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE PLATFORM, OR USER'S USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY THE USER TO TOPMATE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE THOUSAND INDIAN RUPEES (INR 1,000).

Exclusion of Consequential Damages

IN NO EVENT SHALL TOPMATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Non-Liability for User Conduct

Topmate is not liable for the performance, non-performance, quality, or failure of Experts to deliver promised services or content. Users assume all risk associated with their interactions with other users on the Platform.

12. INDEMNIFICATION

Indemnity Obligation

Users agree to indemnify, defend, and hold harmless Topmate, including its officers, directors, employees, agents, successors, and assigns, from and against all claims, damages, losses, liabilities, costs, and legal fees (including reasonable attorneys' fees) arising out of or related to:
  • The user's access to or use of the Platform;
  • The creation, upload, or distribution of User Content;
  • The user's violation of these Terms or any applicable law, statute, or regulation;
  • Any infringement or alleged infringement of third-party intellectual property rights, privacy rights, or other legal rights through the user's content or activities; or
  • Any claim brought by a third party against Topmate relating to the user's conduct or content.

13. ACCOUNT TERMINATION AND SUSPENSION

Termination Rights

Topmate reserves the absolute right to suspend or terminate any user account and the associated access to the Platform immediately and without prior notice if:
  • The user materially breaches any provision of these Terms;
  • The user's content or activities violate applicable law or infringe third-party rights;
  • Topmate receives valid legal process or government orders requiring account suspension or termination;
  • The user engages in fraudulent, abusive, or harmful conduct; or
  • Topmate reasonably determines that continued operation of the account poses legal or security risks.

Effect of Termination

Upon account termination, all user rights to access and use the Platform immediately cease. User content may be retained by Topmate as required by law or for legitimate operational or legal purposes. Provisions pertaining to Intellectual Property Rights, Indemnification, Liability Limitations, and Survival shall remain in full force and effect following termination.

14. GENERAL PROVISIONS

Force Majeure

Topmate shall not be liable for any performance delays, failures, or inability to fulfil its obligations arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, or catastrophic failures of internet infrastructure or telecommunications systems.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and severable from these Terms, and all remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.

Assignment and Delegation

Users may not assign, transfer, or delegate any rights or obligations arising under these Terms to any third party without Topmate's prior written consent. Topmate may assign its rights and obligations under these Terms to any successor entity, affiliate, or assignee at any time without notice to users.

Entire Agreement

These Terms of Use, together with the Privacy Notice and other policies referenced herein, constitute the entire agreement between the user and Topmate concerning the subject matter hereof and supersede all prior negotiations, representations, understandings, and agreements, whether written or oral.

Amendment and Modification

Topmate reserves the right to modify, amend, or supplement these Terms at any time in its sole discretion. Modified terms shall be effective upon posting on the Platform. Users are responsible for regularly reviewing these Terms. Continued access to or use of the Platform following the posting of revised terms constitutes acceptance of the amendments.

Independent Parties

The parties are independent contractors. Nothing in these Terms creates or implies a partnership, joint venture, employment relationship, agency, or fiduciary relationship between the user and Topmate.

15. REGULATORY COMPLIANCE FRAMEWORK

The Platform operates in compliance with the following regulatory frameworks:
  • The Indian Contract Act, 1872
  • Information Technology Act, 2000
  • Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011
  • Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
  • Digital Personal Data Protection Act, 2023
  • Digital Personal Data Protection Rules, 2025
  • Any other law or statute required for legal compliance.

16. GOVERNING LAW AND JURISDICTION

These Terms of Use shall be governed by and construed in accordance with the substantive laws of India, without regard to its conflict of law principles.
Both parties irrevocably consent to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka. Any dispute arising out of or relating to these Terms shall be subject to a three-tier resolution mechanism: (i) amicable negotiation for a period of thirty (30) days; (ii) mediation conducted in Bengaluru; and (iii) litigation in the competent courts of Bengaluru, if the dispute remains unresolved.
